SERVE Subscription Agreement

1. The service

SERVE is a web-based guest service platform. Guests scan a QR code or open a link to request services such as bell service, room service, valet, housekeeping, maintenance and concierge, and to message your team. Your staff receive, accept and complete those requests in the SERVE staff and manager apps.

We may improve or change features over time. We will not materially reduce the core request, staff and reporting features of your plan during a paid term without notice.

2. Accounts and your team

You are responsible for the people you give access to, for keeping passwords and room passcodes private, and for removing access when someone leaves. Activity under your accounts is your responsibility.

You will give guests accurate information about how to use SERVE and will not use SERVE for emergencies. Guests should always be told to call the front desk or emergency services for urgent safety matters.

3. Free trial

New properties start with a free trial (currently 14 days). If you add a payment method, your subscription begins automatically when the trial ends unless you cancel before then. If you do not add a payment method, we may limit access after the trial until billing is set up.

4. Fees and payment

Fees are the monthly price of the plan you select, as shown at signup or in your Billing page, plus any applicable taxes. Subscriptions renew automatically each month until cancelled.

Payments are processed by our payment provider, Stripe. You authorize us to charge your payment method for each billing period. If a payment fails we will notify you and may suspend the service after a reasonable grace period until the balance is paid.

We may change prices with at least 30 days' notice. The new price applies from your next billing period after the notice period.

Plan changes take effect right away; any difference is prorated by our payment provider. Fees already paid are non-refundable except where required by law or stated in this Agreement.

5. Term and cancellation

This Agreement starts when you accept it and continues month to month. You can cancel at any time from the Billing page or by emailing us; cancellation takes effect at the end of the current billing period and you keep access until then.

We may suspend or end the service if you materially breach this Agreement and do not fix the breach within 10 days of notice, or immediately for misuse that threatens the security of SERVE or others.

After cancellation you may request an export of your data for 30 days. After that we may delete it, except where we must keep records by law.

6. Your data and guest privacy

You own the data you and your guests put into SERVE, including requests, messages, room details and staff records ("Customer Data"). You grant us permission to host and process Customer Data only to provide, secure, support and improve the service.

We collect only what the service needs: guests sign in with a room number and passcode, and a phone number is optional. We do not sell Customer Data or guest information. Our Privacy Policy describes our practices.

We use industry-standard safeguards, including encrypted connections and access controls that limit each staff member to the requests for their role. If we learn of unauthorized access to Customer Data we will notify you without undue delay.

You are responsible for having the right to give us any personal information you enter, and for your own obligations to your guests and employees.

7. Acceptable use

You will not misuse SERVE, including by attempting to access other customers' data, interfering with the service, reverse engineering it, reselling it without our written permission, or using it to send unlawful, harassing or spam messages.

8. Availability and support

We work to keep SERVE available around the clock and will use commercially reasonable efforts to fix problems promptly. Planned maintenance will be scheduled to minimize disruption. Support is available by email at hello@servedigital.com.

9. Warranties and disclaimers

We will provide the service in a professional manner consistent with this Agreement. Except as stated here, SERVE is provided "as is" and we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. SERVE is not an emergency or life-safety system.

10. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, even if advised of the possibility.

Each party's total liability under this Agreement is limited to the fees Customer paid to SERVE in the 12 months before the event giving rise to the claim. These limits do not apply to Customer's payment obligations or to either party's fraud or willful misconduct.

11. Indemnity

Customer will defend and indemnify SERVE against third-party claims arising from Customer Data or Customer's use of the service in breach of this Agreement or the law. SERVE will defend and indemnify Customer against third-party claims that the service, as provided by SERVE, infringes their intellectual property rights.

12. General

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and any dispute will be heard in the state or federal courts located in Texas.

We may update this Agreement for future terms with at least 30 days' notice by email or in the app; continued use after the notice period means you accept the update. Notices to SERVE go to hello@servedigital.com; notices to you go to the account email on file.

Neither party may assign this Agreement without the other's consent, except to a successor of its business. If any part is unenforceable, the rest remains in effect. This Agreement, together with the plan selected at signup and the Privacy Policy, is the entire agreement between the parties about SERVE.
